1. Acceptance of Terms
By accessing or using the services provided by Kareg (“Kareg”, “we”, “us”, or “our”), including our API, dashboard, and documentation (collectively, the “Service”), you agree to be bound by these Terms & Conditions. These terms apply to all Authorized Users and organizations. If you are entering into these terms on behalf of an organization, you represent that you have the legal authority to bind that entity.
2. Service Description & No Financial Advice
Nature of Service: Kareg provides market-regime intelligence, including regime labels, driver attribution, and risk scores.
Informational Purpose Only: The Service is for informational and analytical purposes only. Kareg is not a financial advisor, a broker-dealer, or a fiduciary.
No Solicitation: Nothing provided by the Service constitutes a recommendation, endorsement, or solicitation to buy or sell any security or financial instrument.
User Responsibility: You acknowledge that all investment decisions are made solely by you. Kareg shall have no liability for any investment decisions or capital losses based on, or derived from, the Service.
3. API Usage & Security
Access Credentials: API keys and login credentials are confidential. You are responsible for all activities occurring under your credentials.
Usage Limits: Your access is subject to rate limits and quotas defined in your specific Service Agreement or Order Form. We reserve the right to throttle or suspend access if your usage patterns threaten the stability of the Service.
Prohibited Conduct: You agree not to:
- Reverse-engineer, decompile, or attempt to extract the source code or underlying algorithms of Kareg’s models.
- Sublicense, sell, or redistribute raw API outputs to third parties without express written consent.
- Use the Service to create a competing market-intelligence product.
4. Intellectual Property
Ownership: Kareg retains all rights, title, and interest in and to the Service, including models, methodology, documentation, and metadata.
License Grant: Subject to these terms, Kareg grants you a non-exclusive, non-transferable, revocable license to use the Service outputs for your internal business purposes.
Feedback: If you provide suggestions or feedback, you grant Kareg a perpetual, irrevocable license to use such feedback without obligation to you.
5. Service Availability & Modifications
“As-Is” Basis: The Service is provided on an “as-is” and “as-available” basis. While we strive for high uptime, we do not guarantee that the Service will be uninterrupted or error-free.
Maintenance: We reserve the right to perform scheduled and emergency maintenance. We will provide reasonable notice for any planned downtime.
Modifications: Kareg may update the API or dashboard functionality at any time. We will provide 30 days’ notice for breaking changes to the API schema.
6. Limitation of Liability & Indemnification
Exclusion of Damages: To the maximum extent permitted by law, Kareg shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, trading losses, or data loss.
Liability Cap: Kareg’s total liability for any claim arising out of these terms shall not exceed the total amount paid by you to Kareg in the 12 months preceding the event giving rise to the claim.
Indemnification: You agree to indemnify and hold harmless Kareg and its affiliates from any claims, damages, or expenses (including legal fees) arising from your misuse of the Service or violation of these terms.
7. Term and Termination
Termination for Convenience: Unless otherwise specified in a signed Service Agreement, either party may terminate these terms with 30 days’ written notice.
Termination for Cause: Kareg may suspend or terminate access immediately if we reasonably suspect a breach of Section 3 (Usage) or Section 4 (IP).
Effect of Termination: Upon termination, all licenses cease, API keys will be revoked, and you must cease all use of the Service.
8. Governing Law & Jurisdiction
These terms are governed by the laws of Spain. Any dispute arising from these terms shall be subject to the exclusive jurisdiction of the courts of Madrid, Spain.
9. Changes to Terms
We may modify these terms from time to time. Material changes will be communicated via email or a prominent notice on our website at least 30 days before they take effect. Continued use of the Service after the effective date constitutes your acceptance of the revised terms.
